Quantum Computing Inc. has filed a registration statement with the U.S. Securities and Exchange Commission to register an additional 13.5 million shares of common stock for issuance under its employee equity compensation plan, expanding the number of shares available for future stock-based awards.

The filing, submitted on Form S-8, registers 13,544,946 additional shares under the company’s amended 2022 Equity and Incentive Plan. Based on the SEC’s required valuation methodology, the aggregate offering amount is approximately $118.5 million, though the filing does not represent a capital raise or public stock offering.

Form S-8 registrations are used by public companies to register securities that may be issued to employees, directors and consultants as compensation. Unlike a Form S-3 shelf registration, which allows companies to sell securities to investors in future offerings, an S-8 is intended solely for employee benefit plans.

Quantum Computing Inc.‘s latest filing follows shareholder approval in June of amendments to the company’s 2022 Equity and Incentive Plan. Among the changes, shareholders approved increasing the total number of shares authorized under the plan from 20 million to 30 million and replacing the previous annual share increase mechanism with an evergreen provision tied to 2% of the company’s outstanding common shares through Jan. 1, 2032, subject to board discretion.

Shareholders also approved increasing the company’s authorized common stock from 250 million shares to 450 million shares. Increasing the number of authorized shares gives a company greater flexibility to issue stock for purposes such as employee compensation, acquisitions or future capital raising, but it also increases the potential for shareholder dilution if additional shares are issued.

According to the registration statement, the newly registered shares are in addition to the 16,455,054 shares that were previously registered under the plan in a March 2025 Form S-8 filing. Once the registration becomes effective, the company will have registered the full 30 million shares authorized under the amended equity plan.

The $118.52 million figure disclosed in the filing reflects the aggregate value of the registered shares for SEC filing fee purposes. The value is calculated using the average of the high and low market prices of Quantum Computing’s common stock on July 2, 2026, as required under SEC rules for employee benefit plan registrations. It does not indicate that the company intends to sell that amount of stock into the public market.

Quantum Computing Inc., based in Hoboken, New Jersey, develops integrated photonics and quantum optics technologies, including quantum computing, quantum sensing and photonic products.
